1. Introduction

   These Terms apply to all contractual relationships between Marius Strydom [t/a Strydent Limited] (“Provider”) and its Clients, and constitute the whole agreement between the parties, except where agreed otherwise in writing.

New Zealand law shall apply to the contract, and the parties submit to the jurisdiction of the New Zealand Courts. If any provision of these Terms is invalid or unenforceable in whole or in part, the validity and enforce ability of the other provisions of these Terms and the remainder of the provision in question shall not be affected.

2. Services

  1. Definition: The Provider will provide content creation services as agreed upon in the project scope or contract. Services may or may not include writing new content, editing existing content, sourcing or creating graphic material, engaging in social media.
  2. Revisions: The Client will provide necessary information and resources required for providing the agreed upon services. Client revision of content will be limited to agreed upon instances (generally 2 revisions per content item). Any additional revisions or amendments to the project must be agreed upon in writing and may result in additional charges.

Intellectual Property, Content Ownership, and Confidentiality

  1. The Provider retains ownership of all intellectual property rights related to all created content until full payment is received.
  2. Client warrants that all original material provided by the Client shall be lawful and not infringe on any usage or copyright of third parties.
  3. The Client shall be responsible for payment of all usage fees, license fees, royalties, and copyright tariffs attached to any content (text, graphics, any combination thereof) or pre-existing content.

Delivery and Cancellation

  1. Delivery of translations shall be in the form and at the time agreed. Notwithstanding, time shall not be of the essence.
  2. If the Client cancels or withdraws any portion of the project prior to completion by the Provider, then the Client shall pay the Provider the portion of the fee agreed for the complete job represented by the portion of project completed, but in any event not less than 50% of the fee.

Payment Terms

  1. All invoices will be rendered in, and payable in New Zealand dollars unless agreed otherwise with the Client. Prices are quoted exclusive of GST, unless stated otherwise, and GST at the appropriate rate will be added to all quoted prices.
  2. All out-of-pocket travel expenses will be charged at cost. Motor vehicle travel will be charged at the Public Service Mileage rate issued by the IRD, applicable to the vehicle used for the purpose. Travel time will be charged at any rate agreed.
    • any investigation, inquiry, or research required beyond that for normal, routine content creation because of ambiguities in the Client brief.
    • additional services required because the Client had made changes in the scope of the project.
    • revisions to completed content not required for accuracy, but requested by the Client after delivery.
  3. All out-of-pocket travel expenses will be charged at cost. Motor vehicle travel will be charged at the Public Service Mileage rate issued by the IRD, applicable to the vehicle used for the purpose. Travel time will be charged at any rate agreed.
  4. Payment shall be made within no later than the 20th of the month following the issue date of invoices.
    In the case of ongoing commitments, such as weekly or monthly payments, the required fee shall be paid in the week or month preceding delivery.

Confidentiality

Both parties agree to maintain the confidentiality of sensitive information shared during the project.

Termination

Either party may terminate the agreement with written notice as specified in the contract.

Limitation of Liability

  1. The Provider shall have no liability or responsibility for any changes made by any person other than the Provider.
  2. The Provider shall have no liability to the Client for delays due to any cause beyond the reasonable control of the Provider.
  3. The Client acknowledges that content may vary in effectiveness and that the Provider is not responsible for specific outcomes.
